How to Draft a Real Estate Sale Agreement in Northern Cyprus?

A sale agreement is a fundamental document that records the transfer of ownership rights and the obligations of the parties. In Northern Cyprus, strict requirements are imposed on the preparation of this document. A properly drafted contract not only regulates the transaction but also serves as the sole instrument for protecting the buyer's interests in the event of legal disputes or delays on the part of the seller.

Language Requirements (2022 Law)

A key nuance of local legislation concerns the language of court and administrative proceedings. The official language of the TRNC is Turkish.

Important to know: Since 2022, District Land Committees (Tapu) do not accept contracts for registration without a Turkish version.

Previously, contracts could be prepared in English or Russian-English. Now, having a Turkish version is mandatory. We recommend drafting bilingual agreements (e.g., Turkish + Russian), where interpretation priority is given to the Turkish text to comply with government requirements.

Mandatory Contract Clauses

To ensure the document has legal force and protects your assets, it must include the following essential conditions:

  1. Party Information. Full details of the seller (developer or individual) and the buyer, including passport data and registration addresses.
  2. Property Description. Detailed specification of the real estate: plot registration numbers, area, number of floors, layout, and technical characteristics.
  3. Price and Payment Schedule. Recording of the total cost, currency, deposit amount, and installment deadlines (if applicable).
  4. Transfer Terms and Procedure. Clear date for handing over keys and conditions under which ownership passes to the buyer.
  5. Rights and Obligations. Rules of conduct of the parties until the title is received.
  6. Guarantees and Liability. Penalties for delayed handover and developer's warranty obligations regarding construction quality (usually structural and finishing works).
  7. Force Majeure. List of circumstances beyond control that release from liability (e.g., natural disasters or changes in legislation).
  8. Dispute Resolution. Specification of the jurisdiction and court that will handle potential conflicts.
  9. Additional Conditions. Specific arrangements (e.g., furniture or household appliances included).
